Agreement between User and IFLEX NETWORK

Welcome to IFLEX NETWORK

The app and website, IFLEX NETWORK (hereinafter referred to as the "Platform"), is operated by IFLEX NETWORK. Your access and use of IFLEX NETWORK are subject to the following terms, conditions, and notices (collectively, the "Terms"). By using IFLEX NETWORK, you accept these Terms without modification. Please review these Terms carefully and retain a copy for your records.

Privacy

Your utilization of IFLEX NETWORK is subject to IFLEX NETWORK's Privacy Policy. We recommend reviewing our Privacy Policy, which governs the Platform and outlines our data collection practices.

Electronic Communications

Your visit to IFLEX NETWORK or communication with IFLEX NETWORK via email constitutes electronic communications. You consent to receive electronic communications and acknowledge that all agreements, notices, disclosures, and other communications provided to you electronically, via email or on the Platform, fulfill any legal requirement for written communication.

Your Account

If you use this platform, you are responsible for safeguarding the confidentiality of your account and password. You agree to restrict access to your computer and accept responsibility for all activities occurring under your account or password. Account transfer or assignment to another party is prohibited. You acknowledge that IFLEX NETWORK is not liable for third-party access to your account resulting from theft or misappropriation. IFLEX NETWORK and its associates reserve the right to deny or terminate service, suspend accounts, or modify content at their sole discretion.

Age Restrictions

IFLEX NETWORK does not knowingly collect personal information from individuals under the age of eighteen, both online and offline. If you are under 18, you may only use IFLEX NETWORK with the permission of a parent or guardian.

Links to Third Party Sites/Third Party Services

IFLEX NETWORK may contain links to external websites ("Linked Sites") not controlled by IFLEX NETWORK. IFLEX NETWORK bears no responsibility for the content of Linked Sites, including links contained therein or any updates. These links are provided for convenience, and their inclusion does not imply IFLEX NETWORK's endorsement or association with their operators. Some services accessible through IFLEX NETWORK are provided by third-party sites and organizations. By using such services, you acknowledge and consent to IFLEX NETWORK sharing information and data with third parties under contractual agreements to deliver requested products, services, or functionality on behalf of IFLEX NETWORK users and customers.

No Unlawful or Prohibited Use/Intellectual Property

You are granted a non-exclusive, non-transferable, revocable license to access and use IFLEX NETWORK in accordance with these Terms. By using the Platform, you warrant that you will not employ it for unlawful purposes or in violation of these Terms. You may not use the Platform to damage, disable, overload, or interfere with others' enjoyment of the Platform. You may not obtain materials or information through unauthorized means. All content, including text, graphics, logos, images, and software on the Platform, is the property of IFLEX NETWORK or its suppliers, protected by copyright and intellectual property laws. You agree to comply with all copyright and proprietary notices and refrain from altering or deleting them. Modification, publication, transmission, reverse engineering, resale, or the creation of derivative works from the content, in whole or part, found on the Platform is prohibited without express written permission from IFLEX NETWORK and the copyright owner. Your use of the Platform does not grant you ownership rights in any protected content. No licenses, express or implied, are granted for IFLEX NETWORK's intellectual property, except as explicitly authorized by these Terms.

Indemnification

You agree to indemnify, defend, and hold harmless IFLEX NETWORK, its officers, directors, employees, agents, and third parties from any losses, costs, liabilities, and expenses, including reasonable attorney's fees, resulting from your use of the Platform or services, user postings, violation of these Terms, infringement of third-party rights, or violation of applicable laws. IFLEX NETWORK reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate fully.

Liability Disclaimer

Information, software, products, and services available through the Platform may contain inaccuracies or typographical errors. IFLEX NETWORK and its suppliers may make improvements and changes to the Platform at any time. IFLEX NETWORK and its suppliers do not warrant the suitability, reliability, availability, timeliness, or accuracy of the information, software, products, services, and related graphics for any purpose. To the fullest extent permitted by applicable law, all such information, software, products, services, and related graphics are provided "as is" without warranty or condition of any kind. IFLEX NETWORK and its suppliers disclaim all warranties and conditions, including implied warranties or conditions of merchantability, fitness for a particular purpose, title, and non-infringement. To the fullest extent permitted by applicable law, IFLEX NETWORK and its suppliers shall not be liable for any direct, indirect, punitive, incidental, special, or consequential damages, including but not limited to loss of use, data, or profits, arising from the use or performance of the Platform, delays or inability to use the Platform or related services, service provision or failure, or information, software, products, services, and related graphics obtained through the Platform, regardless of the legal basis, including contract, tort, negligence, strict liability, or otherwise. Some states/jurisdictions may not allow the exclusion or limitation of liability for consequential or incidental damages, so the above limitation may not apply to you. If you are dissatisfied with any part of the Platform or these Terms, your sole and exclusive remedy is to discontinue using the Platform.

Termination/Access Restriction

IFLEX NETWORK reserves the right, in its sole discretion, to terminate your access to the Platform and related services at any time without notice. Use of the Platform is unauthorized in jurisdictions not recognizing all provisions of these Terms. You agree that no joint venture, partnership, employment, or agency relationship exists between you and IFLEX NETWORK as a result of this agreement or Platform use. IFLEX NETWORK's performance under this agreement is subject to applicable laws and legal processes, and nothing in this agreement derogates from IFLEX NETWORK's right to comply with government, court, and law enforcement requests or requirements regarding your use of the Platform or provided information. If any part of this agreement is deemed invalid or unenforceable under applicable law, the invalid or unenforceable provision shall be superseded by a valid, enforceable provision that most closely matches the original intent, and the remainder of the agreement shall remain in effect. Except as specified herein, this agreement constitutes the entire agreement between you and IFLEX NETWORK concerning the Platform, superseding all prior or contemporaneous communications and proposals, whether electronic, oral, or written. A printed version of this agreement and any electronically delivered notices shall be admissible in judicial or administrative proceedings to the same extent as other business documents and records originally created and maintained in print. The parties expressly request this agreement and related documents to be written in English.

Changes to Terms

IFLEX NETWORK reserves the right to modify the Terms under which IFLEX NETWORK is provided, at its sole discretion. The most current version of the Terms will supersede all prior versions. IFLEX NETWORK encourages periodic review of the Terms to stay informed of updates.
